With a company, there must always be a director in Australia. If the whole board were planning to be out of the country at the same time, they needed to appoint someone else as a director that remains in Australia.
If you can remember a few years ago the entire board of Sundance IIRC were killed in a plane crash in Africa, the exception of course was the director left behind in Australia who was able to sign documents and keep the company going.
