My guess would be that if most of the minority shareholders vote 'No' to the Next Proposal and the current directors still reject the BSC Proposal then a meeting would be called to remove any directors still opposed.
Remember a company is owned by the shareholders who appoint directors to act as stewards of the company. The Corps Act 2001 has ways to remove directors that aren't acting in the interest of shareholders.
