Winmar Resources Limited (ASX: WFE) advises that in accordance with ASX Listing Rules 6.16 and 6.19 and 6.23A, the respective agreements pertaining to:
- 20,000,000 unlisted options with an expiry date of 29 March 2019 issued to Sixty Two Capital Pty Ltd on 15 November 2017 and
- 25,000,000 unlisted options with an expiry date of 30 June 2020 agreed on 14 March 2018 to be issued, subject to shareholder approval, to Sixty Two Capital Pty Ltd
together the ‘Options’, have been amended to include the following terms
The Options are not quoted or transferable.
There are no participation rights or entitlements inherent in the Options and holders will not be entitled to participate in new issues of capital offered to Shareholders during the currency of the Options.
If, at any time, the issued capital of the Company is reorganised (including consolidation, subdivision, reduction or return), all rights of a holder of Options (including their Exercise Price) are to be changed in a manner consistent with the Corporations Act and the ASX Listing Rules at the time of the reorganisation.
Options do not confer upon the holder an entitlement to vote or receive dividends.
The agreements remain otherwise unchanged
