Performance Shares
At the time of acquisition of San Saba Pty Ltd and Springfield Pty Ltd, as part of the
acquisition consideration 17,500,000 performance shares were issued. At that time as the
achievement of the performance criteria was not considered probable, no value was applied to
these performance shares. At 30 June 2009, as the Directors’ consider the performance
criteria achievement not to be probable prior to the expiry of the shares at 28 September
2009, no value has been applied to these shares. Where the performance criteria are not met,
the Company has agreed to redeem the performance shares for a nominal consideration of
$0.000001. per share, being a total of $17.50
