Why alighn themselves to the shareholders (=pain) - their strategy is to take the money (=no pain personally & able to lifestyle themselves at shareholders expense). Take a look at the pages devoted to their incentive rewards KPI's etc (how much of the shareholders funds was taken up in legal fees documenting all of that!?!) Anyway if anyone can understand just how management can get incentive shares over the past year - is beyond me! From a quick speed read it looks as though if all else fails - then the final arbiter is the board...................
