I don't usually pour through annual reports in much detail however this year the BTH focus pushed me to look a little deeper. The blocks in yellow are quotes from the annual report.

“I look forward to updating you on our progress at the AGM. Sincerely, David Keane” – a bit ambiguous on what we’re being updated on but presumably FY24 targets and Control Transaction status??

“Farouk Hussein - Non-Executive Director Appointed in October 2021, Mr Hussein is a Partner at HgCapital LLP, a U.S.-based investment firm focused on partnering with leading technology companies. He brings over 11 years of private and public technology investment experience”. And “Farouk Hussein was formerly a partner of a major shareholder of Bigtincan Holdings Limited, SQN Investors. SQN Investors hold 74,940,121 shares”

A quick Google shows this change was announced 6/9/23, as below:

“FaroukHussein, Partner at Hg, said: “Hg is increasingly establishing itself locallyas a leading firm in software investing. It’s a very exciting time to join aswe build out the differentiated capabilities of the Mercury team across the USand Canada, leveraging the strong foundation in Europe.”So this BTH Director is on the board originally to represent SQN (who made a bid for BTH Dec 22), but left SQN two weeks ago to work as a partner for a software investment company Hg, and is still on the BTH board....

“As at 30 June 2023, the Directors of the Company control 3.93% (2022: 5.58%) of the voting shares of the Company.”

Currently >14M shares (2.34%)are owned by the CEO’s spouse (down from >16M shares (2.95%) in 2022 Annual report).
