BTW: I am not a lawyer, hence I have chosen not to question the apparent ambiguities of the "Conversion" paragraph:

• is "a conversion price equal to" a "10% discount"?
• is it a "10% discount" or the share price that "cannot be less than $0.015 per share" at the time of conversion?

It might be absolutely nothing, but then again it could also be a potential legalistic minefield and an open invitation to the lawyers'' picnic if ambiguities of such kind ever needed to be resolved via legal proceedings, instead of being elliminated from the beginning by the clear, unambiguous and water-tight terms of, after all, the legally binding contract.
