Unfortunately it is trait which has crept into corporate culture over the past 10 years or so..where Boards believe they have to "incentivize" via options ect. normal performance requirements.. The bar is set way too low in many cases with non performing management sometimes walking away with vested share option plans for really doing SFA. In some cases it leads to "uneven and timing driven decision making".
Dont get me wrong , executives should have access to additional reward via well destructed stretch- target incentives over and above contract salary packages as it also adds some skin in the game .
However the whole thing has become very loose and arbitrary with some small growth companies " front loading " share option incentives at start up phase with no hand- cuffing which come back to bite them ( and shareholders) down the track.
