I am assuming that as the shares are currently suspended they cannot issue them but have come up with an arrangement to issue them in 12m (probably minus the escrow period, therefore it does not change the date that BHA can liquidate the shares) but if for any reason the company issues a prospectus (IMO implying more than a 15% dilution) then BHA will be allocated the shares before any dilution occurs and be able to liquidate on the spot (note this is not implying a CR, just protection for BHA probably negotiated by BHA and therefore has no bearing on future plans of BIG development).
