I'm taking a wild stab at this.. as from memory at the time of the deal AUZ had maxed out their issuing of shares in that year, because of the agreed and voted 669m share option for SKI..
I'll stand to be corrected? But that's the only plausible reasoning, as yes you say a simple CR would of been better.
