big player prefer the asset purchase rather than on market takeover because it s cheaper and easier. they can close the deal quick and walk away with the asset they want rather than have to go through all the regulatory steps and risk to trigger counter bids which eventually shot the share price up to way pass their original buying target. This also avoid the corporate baggage associated with target company.
It s the assets they are after not the company why risk provoke a bidding war.
