    The Brainchip ADR is a sponsored ADR. Therefore, Brainchip is paying the costs of issuing the ADR and retains control over it. ADRs represent the price of the underlying shares, but they do not grant ownership rights as common stock does.

    Therefore, the owner would not have the same benefits as a true owner of the common stock. I assume one of those benefits would be voting rights. There is some good information about them here.

    Even the SEC notes in their description of ADRs:

    The custodian will hold all deposited shares for the account of the depositary. ADR holders thus have no direct ownership interest in the shares and only have such rights as are contained in the deposit agreement. The custodian will also hold any additional securities, property and cash received on or in substitution for the deposited shares. The deposited shares and any such additional items are referred to as “deposited securities”.
