It is the boards responsibility to make sure shareholder value is maintained or improved by installing a credible management team that has experience in the field they are meant to be performing in.
I think it is fair to say that this has not happened. The ceo had no experience in business management and none in the field of this business. The downward trend over 3 years should be a good indication of this fact, yet he received a pay increase and performance payments.
