Do we all agree that Mr Andrew Knox who is the Managing Director. has fully complied with the intent of the "Corporate Governance Statement Recommendation 1.7A". Is he keeping holders fully informed [about the pump replacement for example]. Is the practice taking phone calls from Holders and in so doing allegedly revealing privileged "private", information.
If one concludes that that he is in breach of 1.7A undertakings, what action can be taken and is it reported to the ASX, ASIC or both?
Recommendation 1.7 A listed entity should: Yes (a) The Company’s Remuneration and Nomination Committee (or, in its absence, the Board) is responsible for evaluating the performance of the Company’s senior executives on an annual basis. A senior executive, for these purposes, means key management personnel 4 RECOMMENDATION RECOMMENDATIONS (4TH EDITION) COMPLY EXPLANATION (a) have and disclose a process for evaluating the performance of its senior executives at least once every reporting period; and (b) disclose for each reporting period whether a performance evaluation has been undertaken in accordance with that process during or in respect of that period. (as defined in the Corporations Act) other than a non-executive Director. The Board may do so with the aid of an independent advisor. The process for evaluating the performance of senior executives is set out in the Corporate Governance Pack which is available on the website of the Company. (b) The Company had one senior executive during the past financial year, being Mr Andrew Knox who is the Managing Director. The performance of the Managing Director was assessed by the Board on an informal basis
