I found it interesting that BDI announced its corporate governance disclosure policy at the same time as the fairly early Annual report.
From what I can see they had already complied with their ASX requirements.

It's almost like they were wanting it to be known that nothing shady is going on especially with the rumours
Of an imminent acquisition.

Following is an extract from their policy outlining an exemption to the disclosure rules:

1. (ii)  the information concerns an incomplete proposal or negotiation (for example, a negotiation to enter into a new contract).
