So if they pay a dividend over the next 5 years they get the benefits, if the sp increases above 65c they gain the benefit, if the sp stays where it is they give back the shares. No downside.

the options were due to expire next month anyway. No liability to the holders when they converted them anyway so
why not?
5 years to get the share price to above 65c. 5 years?, they'll probably do it in 1.
