He might be referring to the loan that needs to be paid on the shares (if it is still outstanding), the employee (assuming Jon Pilcher) may need to cover the cost of the rest of the shares still to be exercised if he is not paying for it out of his own pocket.
Whether its the translation that comes out with 'colourful' phrasing or otherwise, I think Sillazze using "scam" should be interpreted as a plan by Jon and Co to maximise their interests prior to any takeover occurring. I don't think he meant anything untoward particularly towards shareholders.
