The detail will matter. Motive is getting preferred stock... now for the CN documentation, does a "capital raise" include raising money via issuing preferred stock count as "capital raise"? The securities Motive are getting are senior to ordinary equity (but presumably junior to the debt component of the CN).
If it is not a "capital raise" under the terms of the CN, then nothing happens other than the CN holders becoming very unhappy about life... (again, unless there are some other anti-dilution terms in their documentation). I'd suggest that no-one on here actually knows the answer, though there is a lot of confidence expressed (and "I would have thought that..." kind of talk. All that matters is what's in the documentation).
