I believe the meeting chair can vote undirected proxies only if the shareholder has indicated their informed consent on the proxy form for the chair to exercise their proxy. So only proxy forms that are completed and returned indicating consent for the chair to exercise the proxy can be voted by the chair - shares owned by shareholders that don't vote their own shares and don't return the proxy forms cannot be voted and are not counted.
