50,000,000 shares issued at $0.005 ($250,000) to the incoming director of CLE who is also a director of Rich and D&K; plus
a further 50,000,000 shares issued at $0.005 ($250,000) to the incoming director if the SP stays over $0.01 for at least 10 trading days within the first 12 months.
