"The Indemnity provision protects the buyer against: Project-related risks (technical defects, environmental issues, contract breaches).Tax liabilities (historical taxes, audits, or new assessments). Legal and regulatory claims (undisclosed litigation or compliance breaches). Third-party claims (supplier, contractor, or partner disputes). Title and ownership issues (title defects or ownership misrepresentation). Such provisions are standard in large-scale transactions, particularly in high-risk jurisdictions like Eritrea, where legal, tax, and regulatory uncertainties are more likely to emerge after the sale.
