I'm still trying to get my head around whether to elect to receive CDI's Or Holdco Shares. Without giving advice can anyone give me some help here? I haven't experienced this problem before.

I've extracted some paragraphs from the Scheme Booklet below.

What are Holdco CDIs? Holdco CDIs are a CHESS Depositary Interest, representing a beneficial interest in a Holdco Share. Legal title to the underlying Holdco Share(s) are held by the Authorised Nominee. Holders of Holdco CDIs are entitled to receive all of the economic benefits of direct legal ownership of the underlying Holdco Share(s). It is intended that, following implementation of the Schemes, Holdco CDIs will be listed for trading on ASX.

Are there any differences between my ATL Shares and the Holdco CDIs or Holdco Shares I will receive? Yes, there are certain important differences between the rights attaching to ATL Shares and Holdco CDIs and Holdco Shares. The ATL Shares are currently governed under the Corporations Act, ATL Constitution and the ASX Listing Rules. However, the Holdco Shares will be governed under the DGCL and Holdco’s amended and restated certificate of incorporation and amended and restated bylaws. If Holdco Shares are approved for trading on Nasdaq, they will also be subject to the Nasdaq Listing Rules, but Holdco will also remain subject to the ASX Listing Rules due to the proposed listing of Holdco CDIs on ASX. The major differences between ATL Shares and Holdco CDIs are that: ▪ holders of Holdco CDIs will not have legal title to the underlying Holdco Shares (instead, the underlying Holdco Shares will be held on behalf of holders by the Authorised Nominee); and ▪ holders of Holdco CDIs are not able to vote directly as shareholders, and instead can either direct the Authorised Nominee to vote the underlying Holdco Shares, or alternatively convert their Holdco CDIs into a holding

I can't see any great benefit in electing to receive Holdco Shares in lieu of CDI's but I would appreciate any Member's thoughts on this. Thanks, in anticipation.
