..As of the date of this Quarterly Report on Form 10-Q, the Company has agreed non-binding term sheets withindependent third-party lenders, pursuant to which these parties may provide an asset-based lending facility, oran alternative facility, with a borrowing base of up to $150.0 million.

We continue to pursue a number of initiatives including, among other things, further operating and capital costcontrol measures, potential other funding measures, including refinancing, restructuring or amending terms ofour ABL Facility with existing lenders or third parties, prepayments for future coal sales, temporary idling of certainmining leases, and negotiated alternative payment terms with creditors.There can be no assurance that we will be successful in the execution of such plans. However, we continue toactively pursue these initiatives and remain confident in our efforts to secure additional liquidity and strengthenour financial position.

Based on our outlook for the next twelve months, which is subject to uncertainties with respect to execution ofthe financing initiatives described above, continued changing demand from our customers, volatility in coal prices,current and future trade barriers and tariffs and the uncertainty of impacts from ongoing civil unrest and wars, webelieve expected cash generated from operations together with our sources of liquidity and other strategic andfinancial initiatives, may not be sufficient to meet the needs of our existing operations, capital expenditure andservice our debt obligations....
