Tactic 2 sounds good.

Tactic 1 voting down the merger wont cause a board spill, it will business as usual with the current board managing the company. However, prior to the AGM the board calls for nominations for the board as up to two directors by rotation must retire and they usually stand for re-election. If there is a further GSR AGM the directors will get a second strike on the renumeration report that will send all directors except the managing director to an election within 3 months. I think that is the chance to get our own people on the board.
