    Vista confirms US acquisition of competitor Ticketsoft.
    
    Vista Group International (Vista) has today completed the agreement to
    acquire the assets of US-based cinema software company, Ticketsoft, including
    customer licences, intellectual property and employees. All conditions have
    been fulfilled, including obtaining the consent of Ticketsoft customers,
    representing a minimum 85% of targeted revenue.
    Murray Holdaway, Chief Executive of Vista Group said: "We are delighted to
    have reached agreement with a company that has demonstrated consistent
    innovation and dedication to their customers over a long period of time. This
    acquisition is a quality addition to Vista, and continues our international
    growth strategy by expanding our existing presence and enhancing our service
    proposition in the North American market."
    Founded in 2001 and located in Dallas, Texas, Ticketsoft cinema management
    software solutions are installed in more than 200 cinemas across North
    America representing more than 2,000 cinema screens.
    Cinemas of all sizes rely on Ticketsoft's leading edge software for their
    point of sale (ticketing and concessions), self-service kiosk, internet and
    mobile ticketing, gift and customer loyalty cards, real time management and
    analysis, and large-scale-enterprise corporate office systems.
    Providing a wider portfolio of similar products, Vista Entertainment
    Solutions (VES), a Vista Group company, is the worlds' leading supplier of
    software to cinema exhibitors including installations in over 950 cinemas
    representing 11,300 screens in the USA.
    The integration of the two companies will progressively allow for the
    provision of VES software to the Ticketsoft customer base, delivering a
    number of immediate benefits to customers including support for recently
    mandated EMV credit card processing.  Longer term, benefits include access to
    the ongoing development of VES software and the support that VES provides to
    customers in more than 60 countries including the USA.
    Philip Wood, the founder and CEO of Ticketsoft will continue working with VES
    to ensure a seamless customer experience throughout the integration process.
    Mr Wood said of the acquisition, "This transaction provides Ticketsoft
    customers with an excellent outcome in terms of their ability to access the
    latest technology and solutions available to cinema exhibitors. It also
    provides an exciting future for our staff with an international market
    leader."

    time of the Initial Public Offer of shares and will update the market as
