    You can appoint the chair as your proxy, but direct your vote. Simpy appoint the chair and vote "FOR" all resolutions in that meeting, if your intention, like mine, is to replace the board. The Chair is bound to put your vote as nominated by you.

    I did mine online, as you get a receipt that it is lodged.
