5 Dear Securityholder, Vicinity Centres (Vicinity) is pleased to offer you the opportunity to participate in the Vicinity Security Purchase Plan (SPP). The SPP provides each Eligible Securityholder with an opportunity to apply for up to $30,000 worth of fully paid stapled securities in Vicinity (Securities), free of transaction and brokerage costs. Participation in the SPP is optional. The SPP forms part of the equity raising announced by Vicinity on 1 June 2020, which also included an institutional placement (Placement). The relative size of the Placement and the target size of the SPP has been structured to reflect the split between the aggregate securityholdings of institutional and non-institutional securityholders. Applicants in the SPP will pay a maximum of $1.48 per SPP Security, the same as the Placement offer price, and may pay less depending on the market price of Vicinity securities. The SPP Booklet contains important information on the SPP Offer, including the SPP Terms and Conditions, and details on how to apply (in particular on pages 5 and 6). You can access a copy of the SPP Booklet through the SPP Offer website at the link below. You should read the SPP Booklet carefully and in full before deciding whether to participate. Eligible Securityholders can apply for a parcel of SPP Securities, up to an aggregate of $30,000 across all their holdings, regardless of how many Securities they currently hold. Parcels have a dollar amount of $1,000, $2,500, $5,000, $10,000, $15,000, $20,000, $25,000 or $30,000. The SPP is scheduled to close at 5.00pm (Melbourne time) on Monday, 6 July 2020. How to apply As you have elected to receive electronic communications, you will need to follow the steps below to participate:
6 1. Go to the secure https://events.miraqle.com/VCX-offer
download a copy of the SPP Booklet;
download your personalised Application Form before the offer closes;
read and consider the SPP Booklet and Application Form in their entirety, including the SPP Terms and Conditions in the SPP Booklet; and
follow the below steps.
2. Pay:
by BPAY^® (if paying this way, you do not need to complete an Application Form); or
by cheque (if paying this way, you must complete and return an Application Form).
