    asx Rules and the corporations act are quite different.

    You can’t propose to distribute shares without an upto date balance sheet. ASIC and the ATO will not allow.

    Delisted companies are still required to hold an AGM. Convene an AGM without the accounts and expect shareholders to approve a non existent remuneration report?
