This is just a more firmed up version of the NBIO that BBT submitted in feb right, where they've addressing the funding issue that PBH highlighted.
At $1.085 of value with ~30% of scrip (and ~12% contingent on selling the Canada business), it's not that exciting relative to $1.06 in cash.
Don't think it'll get the merger arb fund that just joined over the line.
Think BBT needs this a lot - removes a competitor and gives them scale. I think they'll sweeten it a bit more to get it done.
