It's damned if we do and damned if we don't. There are no good outcomes for the vote. That said, I worry having a board who own so few shares. If they decide to do a capital raise to fund an acquisition, we will get heavily diluted. And given the NEDs have no operating/management experience in Beam, that might be the "easier" option for them.
Giving full control of the board and Beam to the current NEDs is the greater of the two evils.
