- Spill meeting—If the majority of shareholders at the AGM (ie more than 50 percent) vote in favour of the spill resolution, then an extraordinary general meeting of shareholders must be held within 90 days of the spill resolution. All directors, except for the managing director, will cease to hold office and the shareholders may vote to appoint persons to fill those offices.
