The announcement on 8
May indicates that the position held by BNY Mellon is on behalf of Immutep’s ADR Program for it’s NASDAQ listing. In other words, BNY is the nominee holder for the beneficial owners of the ADRs.

It does not represent a direct interest held by BNYM, but rather the aggregate ordinary shares held on behalf of all ADR holders, none of which represent more than 5% as far as we are aware.

Note 1 of Annexure B talks about the Deposit Agreement, under which the beneficial ADR holders still retain their rights to dispose of their securities and to give voting instructions for the exercise of voting rights attached to the securities. This means that the beneficial ADR holders have the voting power.
