Granted the deal not going through is a possibility though in the absence of a better offer I would think it unlikely to be voted down. I'm not sure how many shareholders would be willing to roll the dice on that.
As for the boards recommendation of support maybe they just wanted to get KDR on the market?
There have been a few speculating on that.
