Put extremely simply - This '"interest" is made up of the shares owned by directors and officers of IHL (feel free to calculate to validate this yourself), shares that are subjected to the lock up period/agreement. This is not an 'ordinary' substantial holder interest, and, makes Roth a "relevant interest" substantial holder until the lockup period expires.

These are not the shares that will form part of the Offering.
