Cos some sellers want to move their money into something else they feel has a greater chance of appreciating more than they would earn keeping their $ in BAL. And some cos their franking credits aren't worth it for them. And some cos they feel the risk of the deal not going ahead would make them cry if that happens and they hadn't sold.
