The Takeover Offer is conditional upon, among other limited conditions:
• SQM obtaining approval from Australia’s FIRB;
• customary conditions including no material adverse change and no prescribed occurrences; and
• the Scheme not being successful (which includes circumstances where the Scheme is terminated due to a person other than SQM or its affiliates acquiring greater than a 19% interest in Azure).
