I've found in nearly all cases in the past companies wanting to avoid stricter disclosure requirements are the ones which really require them.
I don't think they like the 3 strikes rule. They can't dilute the hell out of the stock by stuffing weak performance bonuses into their own pockets after achieving very little for shareholders.
You might not mind sitting in the dark about the progress of the company, but I don't.
