Subject to satisfaction or waiver of the Conditions Precedent (as defined below), Golden Rim may acquire an initial 25% interest in Kada (Stage 2) through the issue of Golden Rim shares to Elta (or its nominee) of such number as when divided by the 30-day VWAP of Golden Rim shares prior to the date of the Conditions Precedent being satisfied or waived, equals the Australian dollar equivalent of US$2,500,000 (Consideration Shares). The Kada Joint Venture will then be formed, which, at this stage, may be an incorporated or unincorporated joint venture.

Following Stage 2, Golden Rim may elect to earn a further 26% interest in Kada (either directly or indirectly) by solefunding expenditure on Kada of not less than US$4,000,000 within 24 months, bringing its total interest to 51% (Stage 3).
Following Stage 3, Golden Rim may elect to earn a further 24% interest in Kada (either directly or indirectly) by solefunding a Definitive Feasibility Study on Kada, bringing its total interest to 75%

So basically they issue a bunch of shares up front. Then have to race to spend $4 million USD on exploration in two years. Then get a Definitive Feasibility Study to get the full 75% share.

Probably a good thing, because it means they can't sit on their hands too much. Could be a bad thing if their interpretation of the resource is wrong (and Newmont's was right). Time will tell - although today's announcement looks promising.
