Can someone please clarify this hypothetical for me please,
If Company "A" makes a takeover bid for Company "B" and the board of Company "B" votes unanimously and recommends that the offer be accepted are not all the directors of Company "B" then bound by that decision and cannot dissent from it? The shareholders of Company "B" can make up their own mind what to do in relation to the Board "B's" recommendation.
