The announcement Keras made regarding the loan conversion included this - “The amounts being capitalised are the only material debt owed by the Company and the capitalisation will therefore facilitate court approval of the capital reduction required to demerge the CAI shares.” so it looks like Keras were advised the loan conversions were needed or at least advisable to enable a smooth distribution of Calidus shares to the Keras shareholders. More necessity than sculduggery!
