It's not a take-over, its a buy-back of one of their own securities so they are not bound by the rules of a take-over under the ASX guidelines nor the Corporations Act but they do have to comply with buy-back obligations under the same Act, guidelines and regulations.
If the first buy-back offer was declared and pursued at a price and achieved and announced as such then a second buy-back offer is made there is no obligation to pay the acceptors of the first offer the revised price.
