CAPREC: NZO: Notice Pursuant to listing rule 7.12.1

Announcement in terms of NZX Listing Rule 7.12.1

Please be advised of a cancellation of securities as follows:

(a) Class of Security and ISIN: ordinary shares and ISN:NZNOOE0002S4.

(b) Number cancelled: 84,217,179 ordinary shares.

(c) The cancellation price: 84,217,179 shares at $0.75 per share totalling
NZD$63,162,884.25.

(d) Payment was in cash to 75 cents per share cancelled.

(e) The percentage of the total class of securities cancelled: 20 per cent.

(f) The reason for cancellation: Capital return by way of an approved Scheme
of Arrangement under Part 15 of the Companies Act 1993. The capital return
has now been completed.

(g) The specific authority for the cancellation: The Scheme of Arrangement
under Part 15 of the Companies Act 1993, approved by the High Court on 29
January 2015.

(h) The terms or details of the cancellation: The Company has cancelled one
in every five ordinary shares and paid to shareholders NZ$0.75 per ordinary
share cancelled.

(i) Total number of securities in this Class after the issue: 336,881,482
listed ordinary shares; 8,983,000 partly paid shares.

(j) n/a.

(k) Date of cancellation 13 February 2015.
