NZX Return of Capital

28 May 2012 - Further to the announcement made on 10 May 2012, NZX Limited
("NZX") advises that the High Court and shareholder approved cancellation of
one in every 10 shares held by NZX shareholders was completed on 25 May 2012.

Immediately after the cancellation was effected, NZX undertook a
"seven-for-three" share split (based on post-cancellation basis).

As a result of the cancellation and subsequent split, the number of NZX
shares on issue is:

(a) 253,756,483 NZX ordinary shares;

(b) 283,677 non-participating redeemable shares issued pursuant to the terms
of the Nominee Agreement between NZX and Country-Wide Publications Limited;
and

(c) 2,087,083 non-participating redeemable shares issued pursuant to the
terms of the NZX Limited Share Plan - Team and Results as set out in the
registered prospectus dated 24 May 2010.
