    BIG capital gains bill for me.
    If someone wants to buy them out, they usually go into a trading halt and management will comment on if they recomend it or not, if they do not then the institution making the offer may up the offer and usually have a big order in the market at their offer price so if anyone wants to sell their shares early they can.
