Sorry, you're just plain wrong on this!
Of course you have to consider escrow shares. They eventually rank pari passu. Why on earth would you discount them from your market cap calculation.
You may choose not include shares which are going to be issued based on performance hurdles cos there is no guarantee they will be issued. But escrowed shares "are issued".
