Unless AJM holds or controls fifty one percent of their shares, there is no way they can stop a hostile take over attempt. So in that case AJM would need "us" share holder's to back them in such an event.
But in most cases, take overs usually have the board's approval. Just because the take over aggressor offers "we" share holder's X price, they can offer XY to the board or who ever holds the majority or largest parcel more cash. That is why the likes of the banks (financial institutions) etc, usually put their hands up. "We" share holder's don't count for anything.
