    this is a 'scheme of arrangement' not a 'takeover'. you may find that the rules applying to a 'takeover' may not (and likely do not) apply to a 'scheme of arrangement'. this is one of the reasons why the scheme is used rather than takeover, also the lower acceptance threshhold etc
