It's just basic accounting, the proceeds of the asset minus the costs of the asset equals the profit or loss.
So anybody converting options can offset the cost of the options and the conversion price against the later sale of the shares. If one receives free options, which has happen with spp's, then the cost of those options is zero dollars.
