If you have held NWE for 12 months or more the CGT discount still applies.
You will have to hold the MIN share for 12 months or more to get the CGT discount
Sell at market pay CGT with discount on CGT
Take the offer and they don't get 80% you pay CGT
Sell the MIN shares within 12 months pay full CGT
The only way not to pay CGT on the transaction is for MIN to get over 80%, then you keep your discount (I think) too
