Yeah - a company creates an issue of new shares to raise money, usually via a broker, to an interested party. That is a placement.
A seller with a holding of shares in a company wishing to dispose of a shareholding, or part thereof, usally uses a broker to find interested parties to take up the shares. This can be transacted via a "crossing" by one or more brokers.
